Terms of Service

1. The service

AuditOwl provides audit, analysis and reporting tools for agencies. We may update or improve features over time.

Business use only. AuditOwl — including one-time audit reports purchased without an account — is offered exclusively to businesses: companies, sole traders and other entities acting in the course of their trade or profession. It is not offered to consumers. By creating an account or purchasing a report you confirm that you are acting on behalf of a business, and consumer-protection rights (such as the 14-day right of withdrawal for digital content) do not apply.

Reports you pass on to your own clients. AuditOwl exists so that you can put an audit in front of your client, and the documents it produces carry your name, logo and colours. That makes you their author towards that client, and with it:

• you review each report and satisfy yourself that it is accurate and appropriate before you send it on;
• you do not present its content as our opinion, advice or recommendation, or state or imply that we have reviewed, endorsed or verified it;
• you are responsible for whatever you undertake to your client on the basis of a report, and for meeting any rules that apply to your own profession or industry when you present it;
• you will indemnify us against claims brought by your client that arise from how you presented, adapted or relied on a report.

The figures in a report are estimates built from the answers entered into it. See the AI Policy for how they are produced and what they are not.

2. Your account

You are responsible for keeping your credentials secure and for activity under your account. You must provide accurate information and be authorised to use any data you upload.

3. Acceptable use

You agree not to misuse the service, attempt to breach its security, or use it to process data unlawfully.

4. Payments

Prices and currency. All prices are stated and charged in US dollars (USD). The price that applies is the one shown at checkout. Your bank or card issuer may apply its own conversion or cross-border fees, which are not ours and are not refundable by us.

Subscription. The AuditOwl subscription is billed monthly in advance and renews automatically each month until you cancel. You can cancel at any time from the billing area of your account; access then continues to the end of the period you have already paid for, and no further payment is taken. We do not refund part-months.

One-time audit report. A one-time report is a single payment, not a subscription. It unlocks the full report for that audit only and nothing recurring is set up.

Refunds. Because the report is digital content delivered immediately on payment, purchases are non-refundable once the full report has been unlocked, and subscription fees already charged are non-refundable, except where a refund is required by applicable law. This does not affect the business-use terms in section 1. If the service failed or the report did not deliver what these Terms describe, contact us — we will look at it and put it right or refund it. Where we do refund, access to the paid content ends.

Failed payments. If a payment fails, our payment provider retries it over the following days. Your access continues for the period you have already paid for; if the payment is still not settled after those retries, the subscription lapses and paid features stop. Your data is not deleted when this happens.

Price changes. We may change prices for future billing periods. We will give you notice by email before a change affects you, and you can cancel before it takes effect. A price you have already been charged never changes retroactively.

Invoicing. Payments are processed by our payment provider, Stripe. An invoice is issued for every payment. If you have an account, invoices are available in the billing area; for a one-time report — bought without an account — the invoice is emailed to the address you enter at checkout.

5. Data protection

Our handling of personal data is described in the Privacy Policy and Cookie Policy. For client data you process through AuditOwl, you act as the controller and we as your processor. The Data Processing Agreement forms an integral part of these Terms — by accepting these Terms at registration you also conclude that DPA with us — together with the list of sub-processors it authorises.

6. Liability

What the service is. AuditOwl is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, or that any figure, estimate, projection or recommendation it produces is accurate, complete or achievable. Output is a starting point for your own judgement — it is not professional advice, financial, investment, tax or legal. How those figures are produced, and what they are not, is set out in the AI Policy.

What we are not liable for. To the fullest extent permitted by law, we are not liable for:

• lost profits, lost revenue, lost or missed contracts, lost customers, or damage to reputation or goodwill;
• savings that were expected or projected but not realised;
• loss or corruption of data, beyond restoring it from our routine backups;
• any loss arising from a decision taken on the basis of a figure, estimate, projection or recommendation contained in a report — whether that decision was taken by you, or by someone you passed the report to;
• indirect or consequential loss of any kind, however it arises.

Our overall limit. Where we are liable despite the above, our total liability for all claims arising in any 12-month period will not exceed the fees you actually paid us in the 12 months before the claim arose. This is the same rule for every customer and is not negotiated case by case.

What is never limited. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited.

7. Termination

You can stop using AuditOwl and delete your account at any time. We may suspend or terminate access for breach of these Terms.

8. Governing law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved by the court having jurisdiction over the registered office of InsuGreen Ltd (trading as AdaptifyAI). Nothing in these Terms excludes or limits any right that cannot be excluded or limited under mandatory applicable law.
